However, in a few limited cases where the parties` intent is not specified, their subjective intentions may constitute an enforceable contract if they both believe in the same contractual terms. The nature of a transaction determines the type of contract law that applies. For transactions such as service contracts and the sale of real estate, the general contract law described above applies. However, contracts for the sale of goods are governed by Article 2 of the UCC, which has been accepted at least in part in each state. The UCC defines „goods“ as all things that are mobile at the time of sale. In banking, a status quo agreement between a lender and a borrower terminates the contractual repayment plan of a struggling borrower and imposes certain steps that the borrower must take. In other areas of activity, a status quo agreement can be virtually any agreement between the parties, in which both parties agree to discontinue the case for a specified period of time. This may include an agreement to defer payments to help a company in difficult market conditions, agreements to stop the production of a product, agreements between governments or many other types of agreements.
The purpose of a contract is to conclude the agreement reached by the parties and to define their rights and obligations in accordance with this agreement. The courts must apply a valid contract in its current form, unless there is reason to exclude its performance. Contractual liability may be assumed voluntarily by the agreement of the parties, by Estoppel and by the cancellation, intentional destruction or surrender of a contract under the seal, with the intention of fulfilling the obligation. During the status quo period, a new agreement is negotiated, which generally changes the original loan repayment plan. This option is used as an alternative to bankruptcy or enforced execution if the borrower cannot repay the loan. The status quo agreement allows the lender to save some value from the loan. In the event of forced execution, the lender must receive nothing. By working with the borrower, the lender can improve its chances of repaying some of the outstanding debt.
